Subscription Agreement

1. Subscription Terms

By subscribing to Band Scrum ("Service"), you agree to the following terms governing your subscription.

2. Pricing

  • The Service is priced at $200 per month per band.
  • Each band in your account is billed separately.
  • All prices are in U.S. Dollars and are exclusive of applicable taxes.

3. Billing Cycle

  • Subscriptions are billed monthly in advance on the calendar anniversary of your subscription start date.
  • You authorize us to charge your payment method on file for all applicable fees.

4. Auto-Renewal

  • Your subscription automatically renews each billing cycle unless you cancel before the renewal date.
  • You will be charged the then-current subscription rate at each renewal.
  • We will provide at least 30 days' notice before any price increases take effect.

5. Refund Policy

  • 7-Day Refund Window: If you cancel within 7 days of your first charge, you are entitled to a full refund. To request a refund, contact billing@bandscrum.com within the 7-day window.
  • Subsequent charges are non-refundable. After the initial 7-day window, no refunds will be issued for partial billing periods or unused time.

6. Failed Payments

  • If a scheduled payment fails, we will attempt to process the payment up to 3 additional times over 7 days.
  • During the grace period, your account will be placed in read-only mode: you can view your data but cannot create or edit content.
  • If payment is not successfully processed within 7 days, your subscription will be cancelled.

7. Cancellation

  • You may cancel your subscription at any time through the Stripe billing portal accessible from your account settings.
  • Cancellation takes effect at the end of your current billing period. You retain full access until then.
  • We do not offer prorated refunds for partial billing periods.

8. Post-Cancellation Data Retention

  • After your subscription ends, your data is retained for 30 days in a read-only state.
  • During the 30-day retention period, you may:
    • Reactivate your subscription to restore full access
    • Request a data export by contacting support@bandscrum.com
  • After 30 days, all data associated with your band is permanently and irreversibly deleted. This includes songs, setlists, events, uploaded files, and all other band content.

9. Free Trials

  • If we offer a free trial, the trial period and terms will be specified at sign-up.
  • At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

10. WARRANTY DISCLAIMER

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAND SCRUM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS SUBSCRIPTION AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO BAND SCRUM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL BAND SCRUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. BINDING ARBITRATION

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS SUBSCRIPTION AGREEMENT SHALL BE DETERMINED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL TAKE PLACE IN THE STATE OF MARYLAND. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THIS SUBSCRIPTION AGREEMENT, YOU AND BAND SCRUM ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

13. CLASS ACTION WAIVER

YOU AND BAND SCRUM AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND BAND SCRUM AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.

BY AGREEING TO THIS SUBSCRIPTION AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS CLASS ACTION WAIVER, UNDERSTAND IT, AND AGREE TO BE BOUND BY IT.

14. JURY TRIAL WAIVER

YOU AND BAND SCRUM HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Band Scrum are instead electing that all disputes shall be resolved by arbitration as set forth in Section 12.

15. Governing Law

This Subscription Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

16. Changes to This Agreement

We may modify this Subscription Agreement at any time. We will provide at least 30 days' notice before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance.
