Terms of Service

1. Acceptance of Terms
By accessing or using Band Scrum ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
The Service is operated by Band Scrum, a Maryland business operating under a DBA ("we", "us", "our").
2. Account Terms and Eligibility
- You must be at least 18 years old to create an account.
- You must provide accurate, complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- One person or legal entity may maintain no more than one free trial account.
3. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal band management purposes. You may not sublicense, resell, or redistribute access to the Service.
4. Billing Terms
- The Service is offered at $200 per month per band.
- Charges are billed monthly in advance on the calendar anniversary of your subscription start date.
- All fees are quoted and payable in U.S. Dollars.
- Subscriptions automatically renew each billing cycle unless cancelled.
- We reserve the right to change pricing with 30 days' prior notice.
5. Cancellation and Refunds
- 7-Day Refund Window: If you cancel within 7 days of your first charge, you will receive a full refund. This applies only to the initial charge; subsequent billing cycles are non-refundable.
- You may cancel your subscription at any time through the Stripe billing portal.
- Cancellation takes effect at the end of your current billing period. You retain access until then.
- After cancellation, your data is retained for 30 days. After 30 days, all data is permanently deleted.
6. Data Retention
- Active accounts: data retained indefinitely while subscription is active.
- Post-cancellation: data retained for 30 days, then permanently deleted.
- You may request a data export during the 30-day retention window.
7. Acceptable Use
Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated by reference into these Terms.
8. Intellectual Property
- We retain all rights, title, and interest in the Service, including all software, designs, and trademarks.
- You retain all rights to content you upload to the Service ("Your Content").
- You grant us a limited license to host, store, and display Your Content solely to operate the Service.
9. WARRANTY DISCLAIMER
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAND SCRUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO BAND SCRUM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Band Scrum and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) Your Content.
12. BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL TAKE PLACE IN THE STATE OF MARYLAND. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.
YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND BAND SCRUM ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
13. CLASS ACTION WAIVER
YOU AND BAND SCRUM AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND BAND SCRUM AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.
BY AGREEING TO THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS CLASS ACTION WAIVER, UNDERSTAND IT, AND AGREE TO BE BOUND BY IT.
14. JURY TRIAL WAIVER
YOU AND BAND SCRUM HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Band Scrum are instead electing that all disputes shall be resolved by arbitration as set forth in Section 12.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.
16. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
